Changes or upgrades within products categories do not constitute a new sale. Specifically, changes that include moving from one Freedom Plan to another, from one Verizon Long Distance Plan to another, from 768K to 3.0 Mbps High Speed Internet or from 5/2 Mbps to 15/2 Mbps FiOS do not constitute a new sale.

Verizon reserves the right to change the Terms and Conditions at any time. IMPORTANT: It is your responsibility to check the Bulletin section of this Web Site for notices on changes to the program.

Once enrolled, you will be assigned a unique Tracking Code. Your code enables Verizon to track referrals that result in a sale. Verizon will issue a predetermined donation amount (as described above) to your organization for each Verizon customer who calls 888-695-5299 and provides your Tracking Code when ordering ad described above in accordance with the terms of the Verizon Velocity Program.

Customers must order new Verizon services by calling 888-695-5299 and providing a valid Organization Tracking Code for their purchase to be eligible for donations. Orders placed through any other Verizon telephone number and orders placed without the Tracking Code will not be eligible for donations. Exceptions may be made for orders placed with an Authorized Verizon Door-to-Door Agent and orders placed at a Verizon Plus Store Location. In these cases, customers must follow directions provided by the Door-to-Door or store representative to call 888-695-5299 and provide the Verizon representative with their order number, Organization's Tracking Code and new products purchased.

We shall commence processing a given payment only after we verify that the sale has been in Verizon billing for at least 30 days.

Following your enrollment, we may identify you as a participant in the Verizon Velocity Program and you may hold yourself out as a participant until such time as your participation is terminated. Each party grants the other permission to use trademarks, service marks and trade names ("Marks") solely in connection with your participation in the Verizon Velocity Program and in a manner that is not damaging to the name or reputation of the Marks' owner Marks may only be used if they are exact copies of the Marks as used by the owner of the Mark or if written approval is obtained from the owner of the Mark for the particular use.

We grant you permission to reproduce and/or distribute material related to the Program which we, in our sole discretion, may provide either in printed form or through electronic transmittal.

We shall make no donation with respect to any order that (a) we reject for any reason; (b) may be cancelled by customer for any reason; or (c) for which full payment is not actually received by Verizon.

We may decline, for any reason, to enter into an agreement with any referral customer. We shall have no obligation to you with respect to such referral.

Service must be provisioned and accepted by the referral customer within 60 days of the order date upon terms and conditions acceptable solely to us and the referral customer must retain the service for the agreed term period.

Customers providing your Tracking Code may be ineligible for certain other promotional offers and discounts.

In the event a referral customer is disputed among one or more participants in the Program, Verizon alone shall determine which participating organization, if any, is entitled to a contribution with respect to such referral customer.

We and you agree that your participation in Verizon's Velocity Program shall not create any agency, employment, partnership or joint venture relationship. You are not authorized to act on our behalf in any manner.

You warrant that you shall qualify as a non-profit entity under IRS Code Section 501(c) at all times while participating in the Verizon Velocity Program. You warrant that contributions received will be used to further your exempt purpose.

Neither party shall use any confidential Information of the other for any purpose not authorized under these Terms and Conditions, nor shall a party disclose any such confidential information to any third party except as required by law.

We observe confidentiality regulations and privacy policies that protect our customers. For this reason, any reports regarding your participation will not include a listing of names, phone numbers or other information identifying the Individual customers who submit your Tracking Code to us. You may request an audit be conducted of our Verizon Velocity Program records relating to your participation, and any such audit shall be conducted by a mutually acceptable third party at your expense and subject to a confidentiality agreement satisfactory to us.

Nonprofit Eligibility Guidelines:
We reserve the right to refuse the enrollment of or terminate the participation of any organization in the Program You may terminate your participation in the Program at any time by notifying us via mail or fax.

In the event of termination, Verizon shall continue to process donations based upon qualifying orders placed prior to the date of termination.

We reserve the right to discontinue or alter the terms of the program at any time without prior notice.

WE SHALL NOT BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION, DIRECT OR INDIRECT DAMAGES, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO THE VERIZON Velocity PROGRAM, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF WE OR ANY OF OUR REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WE MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE VERIZON Velocity PROGRAM OR AS TO ANY MATTER WHATSOEVER. IN PARTICULAR, AND WITHOUT LIMITATION, WE DISCLAIM ANY AND ALL WARRANTIES OF MERCHANT ABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON- INFRINGEMENT OF THIRD-PARTY RIGHTS.

These Program Terms and Conditions shall be governed by the laws of the State of Delaware, without reference to conflict of laws principles.
